Our services
Foreign Investors which are not being registered in Romania, and sell products through a Romanian e-commerce platform and/or store their goods within a local warehouse, are obliged by law to obtain a VAT code in Romania through one of the following methods:
1. Opening a Company in Romania
1. Opening a Company in Romania
STEPS INVOLVED
Step 1: We receive the passport/ID/residence permit/identity documents of the shareholders and directors of the company and three proposed company names;
Step 2: A power of attorney is issued on behalf of our representative in charge of drafting, submitting, and retrieving the documents with the Trade Registry, based on the reserved company name;
Step 3: Upon receiving the power of attorney and the remaining documents (declaration of residential address to be included in the incorporation documents, property documents for the registered office space + IDs of property owners), the documents will be drafted within max 2 working days to be signed;
Step 4: Then we will submit the signed documents (physically, by courier, or electronically);
Required documents
- Copy of passport/ID/residence permit/identity document;
- Declaration of residential address to be included in the incorporation documents;
- Property documents for the registered office space + IDs of the property owners;
*in the absence of a registered office, an additional cost may apply for office hosting - Three proposed company names
- Power of attorney for those present in the country (we can manage without it, at an additional cost)
Company registration takes up to 5 working days.
Should you wish to register the company for VAT purposes and obtain an EORI code, an additional cost is due.
2. Through a Fiscal Representative
2. Through a Fiscal Representative
3. Register as a non-resident
3. Register as a non-resident
STEPS INVOLVED
The least expensive and simplest option is to register you as a non-resident, by submitting Declaration No. 015 – which is a Tax registration declaration for non-resident taxpayers who do not have a permanent establishment in Romania (as per Government Order no.2034/2022, and Fiscal Code provision Art. 316 para (4) or (6)).
This can be filled in and submitted directly by the non-resident or through a fiscal representative.
A valid postal address is required for official communication purposes and in order for the authorities to be able to verify related transaction documents carried out on the Romanian territory. We can provide the postal address for you at a fee.
Required documents
- Declaration No 015 – filled in by us and signed by you
- Company registration documents in the country of residence
- Associates’ and administrators’ IDs
- Power of attorney which empowers us to fill in, submit, and pick up the registration certificate on your behalf
- The administrator’s affidavit describing the activity to be carried out within Romanian territory
- The signed contract with the e-commerce platform, and any other orders or contracts to justify the activity that will take place on the territory of Romania
All the documents must be signed holographical in blue after being translated into Romanian by an authorized translator.
After opening a company on the territory of Romania (regardless of whether it is activ or not), after registering for VAT purposes, and obtaining the tax identification code in Romania, the new company has the legal obligation to keep accounting records for the transactions carried out on the territory of Romania and to prepare and submit the tax returns to ANAF for the transactions for which you used the Romanian VAT code. Failure to submit tax returns will result in the company being declared inactive.
